By accessing or using the Agentic Media platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Agentic Media Inc. ("Agentic Media," "we," "us," or "our"). We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.

Agentic Media is a social media management platform that enables users to manage multiple social media accounts, schedule and publish content, generate AI-powered promotional materials and user-generated content (UGC), and access analytics — all from a single dashboard.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

To use certain features of the Service, you must create an account. When registering, you agree to:

• •Provide accurate, current, and complete information during registration
• •Maintain and promptly update your account information to keep it accurate
• •Maintain the security and confidentiality of your login credentials
• •Accept responsibility for all activities that occur under your account
• •Notify us immediately of any unauthorized use of your account

You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

You retain ownership of all content you create, upload, or publish through the Service ("User Content"). By using the Service to publish User Content, you grant Agentic Media a limited, non-exclusive, royalty-free license to transmit, store, and display your User Content solely for the purpose of operating and providing the Service.

You represent and warrant that:

• •You own or have the necessary rights and permissions to use and publish your User Content
• •Your User Content does not infringe upon the intellectual property, privacy, or other rights of any third party
• •Your User Content complies with all applicable laws and regulations
• •Your User Content does not contain any material that is defamatory, obscene, abusive, or otherwise objectionable

The Service includes AI-powered features that generate promotional content, advertisements, and other creative materials. You acknowledge and agree that:

• •AI-generated content is provided as a starting point and should be reviewed before publishing
• •You are solely responsible for reviewing and approving all AI-generated content before it is published to any platform
• •Agentic Media does not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content
• •You retain full responsibility for any AI-generated content published through your connected accounts

You agree not to use the Service to:

• •Violate any applicable laws, regulations, or third-party rights
• •Publish spam, misleading content, or deceptive advertising
• •Distribute malware, viruses, or any other harmful code
• •Attempt to gain unauthorized access to other users' accounts or our systems
• •Interfere with or disrupt the integrity or performance of the Service
• •Scrape, crawl, or otherwise extract data from the Service without authorization
• •Use the Service for any illegal, fraudulent, or abusive purpose
• •Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• •Use automated systems or bots to access the Service except as explicitly permitted
• •Circumvent or attempt to circumvent any usage limits, rate limits, or other restrictions

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

• •Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan
• •All fees are non-refundable except as required by law or explicitly stated in our refund policy
• •We may change subscription pricing with 30 days' advance notice; continued use after the change constitutes acceptance
• •You authorize us to charge your payment method on file for recurring subscription fees
• •Failure to pay may result in suspension or termination of your access to paid features

The Service, including its design, features, code, branding, logos, and all related intellectual property, is owned by Agentic Media Inc. and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose in accordance with these Terms.

The Service integrates with third-party social media platforms including Instagram, TikTok, YouTube, X / Twitter, LinkedIn, and Facebook. Your use of these platforms is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party platforms, nor for any actions taken by those platforms regarding your account or content. We do not endorse or assume responsibility for any third-party services.

To the fullest extent permitted by law, Agentic Media Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee any specific results from using the Service.

You agree to indemnify, defend, and hold harmless Agentic Media Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• •Your violation of these Terms
• •Your User Content or AI-generated content published through your account
• •Your violation of any third-party rights, including intellectual property rights

You may terminate your account at any time by contacting us or through the account settings in the Service. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service will immediately cease. We may retain certain information as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will continue to apply.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the American Arbitration Association rules. The arbitration shall take place in Wilmington, Delaware.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide notice via email or an in-app notification.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
